1. About This Arrangement
This Self-Billing Statement Arrangement (the "Arrangement") is made between Your Pilla Ltd ("Pilla", "we", "us") and the affiliate identified in section 2 (the "Affiliate", "you") to support payment of affiliate commission earned under Pilla's Affiliate Program Terms at /legal/affiliate-terms (the "Program Terms").
You are not registered for UK VAT. HMRC's VAT self-billing scheme in VAT Notice 700/62 only applies between two VAT-registered parties, so this Arrangement is not a VAT self-billing agreement. It is a self-billed commission statement arrangement: Pilla calculates, documents and pays the Commission each quarter, and you agree not to issue your own sales invoices to Pilla for the same amounts.
This Arrangement sits alongside the Program Terms. If there is a conflict between this Arrangement and the Program Terms on a payment, statement or commission-mechanics matter, this Arrangement wins. On every other matter, the Program Terms win.

2. The Affiliate
You confirm the following details are correct as at the date of signature:

You confirm that you are not currently registered for UK VAT and that the information you have given Pilla about your tax status is accurate.
3. Definitions
In this Arrangement:
- "Commission" means the affiliate referral commission payable to you under the Program Terms.
- "Commission Statement" means a numbered statement of Commission issued by Pilla on your behalf under this Arrangement.
- "Quarter" means a calendar quarter ending on 31 March, 30 June, 30 September or 31 December.
- "Term" has the meaning given in section 9.
Other capitalised terms have the meanings given in the Program Terms.
4. Scope of Services Covered
This Arrangement covers all affiliate referral and promotional services you provide to Pilla under the Program Terms during the Term, in return for Commission.
5. Pilla's Obligations
Pilla agrees:
- To issue a Commission Statement for each Quarter showing:
- your name and trading address;
- the Statement number (Commission Statements run sequentially per Affiliate), date of issue and Quarter covered;
- the Referred Customers and subscription periods to which the Commission relates;
- the gross Commission accrued;
- any clawbacks for refunds, chargebacks or cancellations;
- the net amount payable (or rolled forward if below the payout threshold).
- To pay the Commission by GBP bank transfer to the bank account you have provided, on or around the 10th day of the month following the relevant Quarter end, subject to the minimum payout threshold of £50 set out in the Program Terms (balances below the threshold roll forward).
- To deliver the Commission Statement in electronic form by email or via a secure portal, which you accept as the agreed method of delivery. Pilla will retain email logs or portal access logs as proof of delivery for the record-keeping period in section 10.
6. Your Obligations
You agree:
- Not to issue a sales invoice to Pilla for any Commission already paid or stated by Pilla on a Commission Statement.
- To provide and keep current the bank account details, name, trading entity, address and email address that Pilla needs to make payments under this Arrangement, and to notify Pilla in writing within 30 days of any change.
- To notify Pilla in writing within 14 days (email to liam@yourpilla.com is sufficient) if you become registered for UK VAT, or become liable to register for UK VAT (for example because you cross the UK VAT registration threshold, currently £90,000), providing the VAT registration number and effective date. This is so Pilla can move you onto Pilla's VAT self-billing agreement at /legal/affiliate-self-billing-agreement-vat before the next quarterly payout.
- To declare and pay any income tax, National Insurance or other taxes due on the Commission, including any equivalents in your jurisdiction. This includes reporting Commission to HMRC under Self Assessment if you are an individual or sole trader, and including it as turnover for the purposes of your VAT registration threshold test. You are solely responsible for your own tax affairs.
- Warranty. You warrant that the tax-status and tax-residency information you have given Pilla is accurate, and that you will tell Pilla within 14 days of any change.
7. Becoming VAT-Registered
If you become VAT-registered during the Term:
- You notify Pilla under section 6(3).
- Pilla issues a VAT self-billing agreement for you to sign before the next quarterly payout.
- Pilla will issue a final Commission Statement under this Arrangement for the part of the Quarter before the VAT effective date, where required.
- From the VAT effective date, this Arrangement no longer applies and the parties operate under the VAT self-billing agreement.
8. Refunds, Chargebacks and Clawback
If a payment from a Referred Customer is reversed (by refund, chargeback or otherwise) after a Commission Statement has been issued, the corresponding Commission is clawed back in line with the Clawback section of the Program Terms. We will set off the clawback against the next Commission Statement, or against any other amount we owe you, before invoicing you for any remaining balance. Each Commission Statement will explain any clawback applied.
9. Term and Termination
This Arrangement starts on the date both parties sign it and continues until terminated under this section (the "Term"). Because this is not a VAT self-billing agreement, the 12-month HMRC review cycle in VAT Notice 700/62 does not apply. We may still update this Arrangement from time to time, and will tell you about any material change in line with the Program Terms.
Either party may terminate this Arrangement on 30 days' written notice to the other party. Termination of the Program Terms automatically terminates this Arrangement.
On termination:
- Pilla will stop issuing Commission Statements;
- Commission already accrued before termination remains payable in line with the Program Terms;
- the record-keeping obligation in section 10 continues for the full 6-year period;
- any clauses that by their nature should survive (including section 8 (Refunds, Chargebacks and Clawback), section 10 (Records), and section 11 (Governing Law and Jurisdiction)) survive termination.
10. Records
Pilla will keep a copy of this Arrangement, every Commission Statement issued under it, and the related bank transfer records for at least 6 years from the end of the tax year to which the document relates, in line with HMRC record-keeping rules (HMRC Compliance Handbook CH15200). You should keep your counterpart copies for the same period.
11. Governing Law and Jurisdiction
This Arrangement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, are governed by the law of England and Wales.
Each party irrevocably agrees that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Arrangement or its subject matter or formation.
12. Signatures
The parties accept electronic signature of this Arrangement, including by typed name, click-through acceptance, or any equivalent method we offer.
